Terms of Service

These Terms govern your use of the LogoRouter API and all related services. They're written to be clear and fair. If you have questions, email legal@logorouter.com.

Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Lead Magic Corporation, a Massachusetts corporation ("LogoRouter," "we," "us," or "our"), governing your access to and use of the LogoRouter API, website, dashboard, documentation, and all related products and services (collectively, the "Services").

BY ACCESSING OR USING THE SERVICES, CREATING AN ACCOUNT, OR CLICKING "I AGREE," YOU CONFIRM THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS AND OUR PRIVACY POLICY, ACCEPTABLE USE POLICY, AND ANY OTHER POLICIES INCORPORATED HEREIN BY REFERENCE. IF YOU ARE ENTERING INTO THESE TERMS ON BEHALF OF A COMPANY OR OTHER LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND THAT ENTITY TO THESE TERMS, IN WHICH CASE "YOU" REFERS TO THAT ENTITY.

If you do not agree to these Terms, you must immediately discontinue your use of the Services. Your continued use of the Services after any modification to these Terms constitutes your acceptance of the modified Terms.

Eligibility and Account Registration

  • You must be at least 16 years of age to use the Services. If you are between 16 and 18, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.
  • You must provide accurate, complete, and current registration information and keep it up to date.
  • You are responsible for maintaining the confidentiality of your account credentials and API keys. You may not share API keys with unauthorized third parties.
  • You are responsible for all activity that occurs under your account, whether or not authorized by you.
  • You must notify us immediately at security@logorouter.com upon becoming aware of any unauthorized access to or use of your account.
  • We reserve the right to refuse registration or terminate accounts at our sole discretion.
  • Each person may only maintain one free-tier account. Using multiple accounts to circumvent plan limits is prohibited and grounds for immediate termination.

Description of Services

LogoRouter provides a programmatic API for retrieving company logos, brand colors, company metadata, and related assets. The Services operate on a tiered model:

Community (Free) Tier

  • 500,000 API requests per month at no charge
  • Attribution required: a visible 'Powered by LogoRouter' link or badge on any public-facing use
  • Rate limited to 60 requests per minute
  • Standard logo quality; no SLA
  • Community support only
  • Free tier is provided as-is and may be modified or discontinued with 30 days notice

Paid Plans

  • Startup, Pro, and Enterprise plans available with higher limits and additional features
  • Attribution requirement removed on all paid plans
  • SLA guarantees apply to Startup ($99.9%), Pro ($99.95%), and Enterprise (99.99%) plans
  • Priority support included on Pro and Enterprise plans
  • Custom rate limits, dedicated infrastructure, and SLA available on Enterprise
  • Features of each plan are described on our pricing page and may be updated with 30 days notice

We reserve the right to modify, suspend, or discontinue any part of the Services at any time. For paid plans, we will provide at least 30 days advance notice of any material reduction in service functionality.

Acceptable Use Policy

You agree to use the Services only for lawful purposes and in accordance with these Terms and our Acceptable Use Policy. You expressly agree NOT to:

  • Use the Services in any manner that violates applicable law, regulation, or third-party rights
  • Infringe, misappropriate, or violate any patent, trademark, trade secret, copyright, or other intellectual property or proprietary right
  • Reproduce, distribute, sell, resell, or create derivative works of logos or brand assets retrieved through the API without authorization from the respective brand owner
  • Use the Services to build a competing product, API, or service without our express written consent
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code, algorithms, or methods of the Services
  • Bypass, disable, or circumvent any rate limits, access controls, or security mechanisms
  • Scrape, index, or cache logo assets for bulk redistribution beyond what your API plan permits
  • Use the Services to serve logos in contexts that defame, disparage, or misrepresent brand owners
  • Transmit viruses, malware, or any code designed to interrupt, destroy, or limit the functionality of the Services
  • Use automated means to create accounts, circumvent plan limits, or abuse free tier credits
  • Share, sell, or sublicense your API keys to third parties without written authorization from LogoRouter
  • Use the Services in connection with illegal content, phishing, fraud, or deceptive practices
  • Violate any export control laws or use the Services in embargoed countries

Violation of this section may result in immediate suspension or termination of your account without refund, in addition to any other remedies available to us.

API Keys and Access

  • API keys are issued per account and are the primary means of authenticating API requests.
  • You are solely responsible for all API requests made using your keys, whether or not authorized.
  • API keys must be kept confidential. Do not commit API keys to public source control repositories.
  • If you suspect a key has been compromised, you must revoke it immediately in the dashboard.
  • We may revoke, rotate, or disable API keys at any time for security reasons, policy violations, or billing failures.
  • Inactive API keys (no requests in 180 days) may be automatically disabled with email notification.
  • API keys are non-transferable and may not be shared between separate legal entities without an Enterprise agreement.

Intellectual Property Rights

LogoRouter Platform IP: The Services, including all software, APIs, SDKs, documentation, visual designs, algorithms, and content created by LogoRouter, are and remain the exclusive property of LogoRouter, Inc. and its licensors, protected by U.S. and international intellectual property laws. These Terms grant you no ownership interest in the Services.

Third-Party Logo Assets: Company logos, trademarks, brand marks, and related assets retrieved through the API are the intellectual property of their respective owners. LogoRouter operates as a technical intermediary and does not claim ownership of these assets. You are solely responsible for ensuring that your use of any retrieved logo or brand asset complies with applicable trademark, copyright, and brand guidelines of the respective owner.

Your License to Use: Subject to these Terms, LogoRouter grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services solely for your internal business purposes or as otherwise permitted by your plan.

Feedback: If you provide us with feedback, suggestions, or ideas about the Services, you grant LogoRouter a perpetual, irrevocable, worldwide, royalty-free license to use, reproduce, and incorporate such feedback for any purpose.

Payment, Billing, and Refunds

Billing

  • Paid plans are billed monthly or annually in advance via Stripe
  • All prices are in US Dollars (USD) unless otherwise stated
  • You authorize us to charge your payment method on the billing cycle start date
  • Prices may be increased with 30 days written notice; price increases take effect at the next billing cycle
  • Annual plans are billed in full at the start of the billing period
  • Taxes (including VAT, GST) may apply based on your location and will be added to invoices

Refunds

  • Monthly plans: no refunds for partial months; cancel any time to stop future charges
  • Annual plans: refunds are available within 14 days of initial purchase, pro-rated for unused months
  • No refunds are issued for overage charges, unused API credits, or plan downgrades
  • Refund requests must be submitted to billing@logorouter.com

Non-Payment

  • Accounts with failed payments will receive a 7-day grace period with email notification
  • After 7 days, access may be suspended until payment is received
  • After 30 days of non-payment, the account may be terminated and data deleted
  • We reserve the right to pursue collection of outstanding balances

Service Level Agreement (SLA)

The following uptime SLAs apply to paid plans, measured monthly, excluding scheduled maintenance:

  • Startup plan: 99.9% uptime (≤43.8 minutes downtime/month). Service credit: 10% of monthly fee per 1% below SLA
  • Pro plan: 99.95% uptime (≤21.9 minutes downtime/month). Service credit: 15% of monthly fee per 1% below SLA
  • Enterprise plan: 99.99% uptime (≤4.4 minutes downtime/month). Custom service credits per agreement
  • Community (free) plan: no SLA; best-effort only
  • SLA credits must be requested within 30 days of the incident via support@logorouter.com
  • SLA credits are the sole remedy for downtime and are applied to future invoices, not refunds
  • Scheduled maintenance (with 48-hour advance notice) is excluded from SLA calculations

Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party that is marked as confidential or that a reasonable person would understand to be confidential given the nature of the information and circumstances of disclosure ("Confidential Information").

Confidential Information does not include information that: (a) is or becomes publicly available without breach of this agreement; (b) was already known to the receiving party; (c) is received from a third party without restriction; or (d) is independently developed by the receiving party.

Your API keys, usage data, and billing information are treated as Confidential Information by LogoRouter. Our roadmap, pricing models, and unreleased features are treated as Confidential Information by you.

Disclaimers and Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, LOGOROUTER EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM VIRUSES OR HARMFUL COMPONENTS
  • WARRANTIES AS TO THE ACCURACY, COMPLETENESS, TIMELINESS, OR RELIABILITY OF ANY CONTENT OR LOGOS RETURNED BY THE API
  • WARRANTIES THAT LOGO ASSETS ARE ACCURATE REPRESENTATIONS OF CURRENT BRAND GUIDELINES
  • WARRANTIES THAT THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS

Some jurisdictions do not allow exclusion of implied warranties. In such jurisdictions, the above exclusions apply to the maximum extent permitted by applicable law.

Limitation of Liability and Indemnification

LIMITATION OF LIABILITY: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LOGOROUTER, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOST PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF GOODWILL, OR COST OF SUBSTITUTE SERVICES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL LOGOROUTER'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO LOGOROUTER IN THE 12 MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED US DOLLARS ($100). THE FOREGOING LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE.

INDEMNIFICATION: You agree to indemnify, defend, and hold harmless LogoRouter, its affiliates, and their respective directors, officers, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your use of the Services; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any claim that your application or content caused damage to a third party.

Term, Termination, and Suspension

  • These Terms remain in effect until terminated by either party.
  • You may terminate your account at any time through the dashboard settings or by emailing support@logorouter.com.
  • We may suspend or terminate your account immediately, without notice or refund, for: violation of these Terms, suspected fraudulent activity, non-payment, or conduct harmful to other users or the Services.
  • We may terminate your account with 30 days notice for any other reason, with a pro-rated refund for prepaid unused time.
  • Upon termination, your right to access the Services immediately ceases and your API keys are revoked.
  • We will retain your data for 90 days after termination to allow for data export requests, after which it is deleted.
  • Provisions that by their nature survive termination include: Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Governing Law, and Dispute Resolution.

Dispute Resolution and Governing Law

PLEASE READ THIS SECTION CAREFULLY. IT CONTAINS AN ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECTS YOUR LEGAL RIGHTS.

Informal Resolution: Before initiating formal proceedings, you agree to first contact us at legal@logorouter.com and attempt to resolve the dispute informally for at least 30 days.

Binding Arbitration: If informal resolution fails, any dispute arising out of or relating to these Terms or the Services (except for injunctive relief for IP infringement or breach of confidentiality) shall be resolved by binding arbitration under the JAMS Streamlined Arbitration Rules, with a single arbitrator, conducted in Boston, Massachusetts, or via videoconference.

Class Action Waiver: YOU AND LOGOROUTER AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

Governing Law: These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to exclusive jurisdiction in the state and federal courts located in Suffolk County, Massachusetts.

General Provisions

  • Entire Agreement: These Terms, together with our Privacy Policy, Acceptable Use Policy, and any Order Forms or Enterprise Agreements, constitute the entire agreement between you and LogoRouter regarding the Services.
  • Severability: If any provision of these Terms is found invalid or unenforceable, the remaining provisions remain in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.
  • Assignment: You may not assign these Terms or any rights hereunder without our prior written consent. We may freely assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure: Neither party is liable for delays or failures in performance caused by circumstances beyond their reasonable control.
  • Notices: Legal notices to LogoRouter must be sent to legal@logorouter.com and to Lead Magic Corporation, Attn: Legal, Boston, MA. We may send notices to your registered email address.
  • Export Compliance: You agree not to export or re-export the Services to any country subject to U.S. export restrictions.
  • U.S. Government Users: The Services are commercial computer software subject to FAR 12.212 and DFARS 227.7202.
